Philip M. Ruais serves clients in the following practice areas:

Philip's practice centers on the negotiation and drafting of documents for business, commercial and real estate transactions.  He represents and advises owners, landlords, tenants and developers in a range of complex transactions involving commercial property, residential property, business operation and business acquisition.  He has extensive experience drafting and negotiating a wide variety of project documents, including:

  • Specialized business contracts
  • Buy/sell agreements
  • Commercial leases
  • Employment agreements
  • Stock purchase agreements

His practice also involves counseling clients on intellectual property matters involving copyrights and trademarks.

Philip was admitted to practice law in Texas in 2006.

Education

He received a Juris Doctorate degree from Franklin Pierce Law Center Cum Laude in 2006, where he served as a Pierce Law Review, Senior Articles Editor.  Philip received a Masters of Laws in Commerce and Technology from the Franklin Pierce Law Center in January 2009.  He also received a Bachelor's of Science degree in Hospitality Management from the University of New Hampshire in 2000.

Publications

Philip is the author of "Property Damage from Water Run-Off" which was published by the New Hampshire Bar Association in October 2005.

Membership

He is active in the legal community and maintains membership in the State Bar of Texas, Collin County Bar Association and Texas Young Lawyers Association.

Representative Engagements

Philip has represented clients in the following complex cases:

  • The largest Texas franchisee, of a multi-national company, in a multi-franchise acquisition.
  • Tenants in the negotiation of long term commercial leases throughout Texas.
  • Negotiated a $100,000 settlement for early lease termination agreement for a landlord.
  • Represented a property seller in $1.6 million undeveloped land transaction.

Personal

Born in Manchester, New Hampshire, Philip is married to a registered nurse and is the father of two children.  He also enjoys playing sports, rebuilding classic cars and attending sporting events with his family.
